Terms of Service

Effective May 1, 2026

These Terms of Service ("Terms") govern your access to and use of GymOps. By creating an account or using the Service, you agree to be bound by these Terms. If you don't agree, don't use the Service.

1. Eligibility

You must be at least 18 years old (or the age of legal majority where you live) to create a GymOps account. By signing up, you represent that you meet this requirement.

2. Accounts

• Owners. If you sign up for GymOps to operate a gym, you become the "Owner" of that workspace and are responsible for the conduct of the staff you invite.
• Staff. If you join an existing gym workspace, you are bound by these Terms and by any reasonable workplace policies your Owner enforces inside the gym.
• Account security. You are responsible for keeping your password secret and for all activity under your account. Notify support@gymopsapp.com immediately if you suspect unauthorized use.

3. Subscriptions, billing, and refunds

• Free trial. New gyms receive a 14-day free trial. We require a payment method up front; you will not be charged until the trial ends, and you may cancel at any time during the trial without charge.
• Pricing. Subscriptions are billed monthly at the rate shown at sign-up ($99 base + $59 per additional location, current as of the effective date). Pricing may change with at least 30 days' notice; existing subscriptions remain at their original price for the remainder of the current billing cycle.
• Auto-renewal. Subscriptions renew automatically each month until you cancel.
• Cancellation. Owners may cancel anytime in the Billing tab of the Owner Portal. Cancellation takes effect at the end of the current billing cycle; you keep access until then.
• Refunds. Subscription fees are non-refundable except where required by law or expressly granted by us in writing.
• Failed payments. If a payment fails, we will retry the charge and notify you. If the failure is not resolved within 7 days, we may suspend access until payment is current.

4. Acceptable use

You agree not to:

• Use the Service for any unlawful, harmful, harassing, or fraudulent purpose;
• Upload or transmit content that is defamatory, obscene, infringing, or otherwise unlawful;
• Attempt to disrupt, reverse-engineer, or gain unauthorized access to the Service, or to scrape, copy, or republish content from the Service in bulk;
• Use the Service to develop a competing product, or to train an AI/ML model;
• Misrepresent your identity or impersonate another user.

We may suspend or terminate accounts that violate these rules.

5. Your content

You retain ownership of the content you submit to GymOps (messages, uploads, training records, role-play sessions). By submitting content, you grant us a worldwide, royalty-free license to host, store, transmit, and display it solely as needed to operate and improve the Service. We do not use your content to train AI models.

6. AI features and disclaimers

GymOps includes AI-powered features (role-play scoring, coaching feedback, transcript generation) provided by third-party partners. AI output is generated automatically and may be inaccurate, incomplete, or inappropriate. AI feedback is not professional, legal, medical, or psychological advice. Use your judgment.

7. Intellectual property

GymOps, the GymOps name, logo, and all related designs, software, and content (other than your content) are owned by us or our licensors and are protected by copyright, trademark, and other laws. You may not copy, modify, or create derivative works of the Service without our written permission.

8. Third-party services

The Service integrates with third parties such as Stripe, OpenAI, Tremendous, Apple, Google, and Expo. Your use of those services is governed by their own terms and privacy policies. We are not responsible for third-party services or content.

9. Service availability and changes

We do our best to keep the Service running, but we don't guarantee uninterrupted availability. We may add, remove, or modify features at any time. We will give reasonable notice of material changes that adversely affect you.

10. Termination

• By you. Owners may cancel a subscription anytime in the Billing tab. Any user may delete their account from inside the app (Profile → Danger Zone → Delete Account). Deletion is final after a 7-day grace window.
• By us. We may suspend or terminate your access if you violate these Terms, fail to pay, or otherwise create risk for us or other users. We will give you notice unless circumstances make notice impractical (e.g. ongoing abuse).
• Effect. Upon termination, your right to use the Service ends. Sections that by their nature should survive (intellectual property, disclaimers, limitation of liability, governing law, dispute resolution) will survive.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GYMOPS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

13. Indemnification

You agree to indemnify and hold GymOps harmless from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your violation of these Terms, your content, or your misuse of the Service.

14. Governing law and disputes

These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict-of-laws principles. Any dispute arising out of or related to these Terms or the Service will be resolved in the state or federal courts located in Delaware, and you consent to the exclusive jurisdiction of those courts.

15. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we'll notify you in-app or by email at least 14 days before they take effect. Continued use of the Service after the effective date of the updated Terms means you accept them.
